Important Notice for Contributors
These Contributor Terms and Conditions ("Terms") govern your role as a contributor ("Contributor") to Archvio. By submitting content, you agree to these terms, including the specific royalty and liability provisions.
Acceptance of Terms
By submitting content, images, graphics, or any other digital assets ("Assets") to Archvio ("the Platform"), you agree to be bound by these **Contributor Terms and Conditions**. If you do not agree, please do not contribute content to the Platform.
Contributor Eligibility and Content Submission
You must be of legal age and have the right to enter into this agreement. You agree that all submitted Assets must be original and not violate any third-party rights. You agree not to:
- Submit content that infringes upon copyright, trademark, or other intellectual property rights
 - Upload content containing illegal, defamatory, or harmful material
 - Submit content that has been used in violation of any prior license
 - Use the Platform to spam, harass, or abuse other users
 - Attempt to manipulate download counts or royalty payments
 
Contributor Accounts
You are responsible for maintaining the confidentiality of your account information. You must notify us immediately of any unauthorized use. Archvio reserves the right to review and approve all content submissions.
Contributor Content Ownership and Licensing
You **retain all copyright** and ownership of your Assets. By submitting content, you grant Archvio a worldwide, non-exclusive license to market, sell, and distribute your Assets to end-users under the license terms defined by Archvio. This includes the right to use your Assets for promotional purposes of the Platform.
Content Pricing and Licensing Tiers
The price you set for your Asset will be considered the price for the **Standard License**. The price for the **Extended License** will automatically be set to **three (3) times** the price of the Standard License. All Assets must be offered under both Standard and Extended License tiers.
Contributor Royalty and Payment
Archvio will pay you a royalty based on the Net Sale Price of your Asset as follows:
- **Standard License Sale:** You will receive **50% royalty** of the Net Sale Price.
 - **Extended License Sale:** You will receive **60% royalty** of the Net Sale Price.
 
Payments will be processed according to Archvio's standard payout schedule and minimum threshold requirements.
Contributor Warranties and Indemnification
**CRITICAL COPYRIGHT LIABILITY CLAUSE:**
You expressly warrant that you own or have the necessary rights to license all submitted Assets and that they do not violate any third-party rights. **The Contributor must be solely responsible for any claims of copyright infringement** or other intellectual property claims arising from their submitted content. You agree to indemnify and hold harmless Archvio from any claims, damages, losses, or expenses (including legal fees) arising from your breach of this warranty or your use of the Platform.
Payment and Refund Policy
All sales and purchases of licenses through the Archvio Platform are deemed **final and non-refundable**, except where required by law. This policy is necessary due to the immediate digital delivery of licensed content. This non-refundable policy applies to all licenses, including both Standard and Extended Licenses.
Termination
Archvio reserves the right to terminate or suspend your Contributor account and remove your Assets at any time for violation of these Terms, including any copyright concerns, or for any other reason at our sole discretion. Upon termination, any outstanding royalties will be paid, subject to final checks.
Modifications to Terms
Archvio reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued submission or maintenance of Assets on the Platform following the posting of revised Terms means that you accept and agree to the changes.
Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Archvio operates, without regard to its conflict of law provisions.
